Terms of Service
Effective Date: June 1, 2025
1. Acceptance of Terms
By accessing or using the Zebra BioSolutions platform, website, APIs, or any associated services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Platform. Continued use of the Platform following any modification to these Terms constitutes acceptance of the revised Terms.
2. Platform Description & Purpose
Zebra BioSolutions operates a private, business-to-business (B2B) intelligence platform designed for medical-device and life-science organizations. The Platform provides regulatory intelligence, FDA-pathway analysis, opportunity scoring, scientific field-operations support, and related professional services.
The Platform is not a public medical-device directory, consumer marketplace, clinical decision-support system, or medical-advice service. It is intended exclusively for authorized business and professional users operating in regulated industries.
3. Eligibility & Account Access
Access to the Platform is restricted to individuals who are at least 18 years of age and are authorized representatives of a registered organization. Each user account is assigned to a specific individual and must not be shared, transferred, or used by anyone other than the assigned account holder.
You are responsible for maintaining the confidentiality of your account credentials, including passwords and multi-factor authentication tokens. You must notify Zebra BioSolutions immediately of any unauthorized use of your account or any other breach of security.
Zebra BioSolutions reserves the right to suspend or terminate any account at any time, with or without notice, for any reason, including violation of these Terms.
4. Authorized Use
Users may access only records, intelligence, and services assigned to their verified organization, role, or training program. Role-based access controls (RBAC) govern what data, dashboards, and workflows are available to each user based on their organizational role and permissions.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. Specifically, you agree to:
- Use Platform data and intelligence solely for internal business purposes within your authorized organization.
- Comply with all applicable laws, regulations, and industry standards relevant to your jurisdiction and industry.
- Respect the intellectual property rights of Zebra BioSolutions and third parties.
- Report any errors, vulnerabilities, or security concerns promptly to Zebra BioSolutions.
5. Prohibited Activities
You may not, directly or indirectly:
- Access, export, scrape, or redistribute Platform data, regulatory intelligence, opportunity scores, or any proprietary content without express written authorization.
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or data models of the Platform.
- Use the Platform to develop competing products or services, or to benchmark against competitive offerings.
- Share, sell, sublicense, or otherwise distribute your account credentials or access to any third party.
- Upload malicious code, interfere with Platform operations, or attempt to circumvent security controls.
- Use the Platform to make clinical decisions, provide medical advice to patients, or replace qualified professional judgment in any regulated context.
- Misrepresent your identity, organizational affiliation, or authorization level.
6. Intellectual Property
All content, data, software, algorithms, scoring models, matching engines, user interfaces, documentation, and other materials available through the Platform are the exclusive property of Zebra BioSolutions or its licensors and are protected by applicable intellectual property laws.
Your use of the Platform does not grant you ownership of any intellectual property. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform in accordance with these Terms and your subscription agreement.
Any data, reports, or analyses you submit to or generate through the Platform remain your property, subject to the license you grant Zebra BioSolutions to process, store, and deliver services related to that data.
7. AI-Assisted & Automated Outputs
The Platform uses artificial intelligence, machine learning, deterministic matching, and automated scoring systems to generate regulatory intelligence, opportunity assessments, and analytical outputs. These outputs are preliminary and informational in nature.
AI-assisted and automated outputs must not be treated as definitive regulatory, scientific, medical, or legal conclusions. All high-impact outputs are subject to human review by qualified Zebra BioSolutions personnel before being presented as actionable recommendations.
You acknowledge that AI-generated content may contain errors, omissions, or biases, and you agree not to rely solely on automated outputs for decisions that require professional regulatory, scientific, or legal judgment.
8. Data Accuracy & Limitations
Zebra BioSolutions ingests regulatory data from official government sources including the U.S. FDA, Health Canada, EUDAMED, ANVISA (Brazil), TGA (Australia), and PMDA (Japan). While we preserve official-source provenance and take reasonable measures to ensure data accuracy, we do not guarantee that all information is complete, current, or error-free.
Regulatory landscapes change frequently. Users should independently verify critical regulatory information with the applicable regulatory authority before making submission, compliance, or commercialization decisions.
9. IP Services Disclaimer
Intellectual property strategy, patent landscape analysis, and due-diligence services provided through the Platform are for informational and strategic purposes only. These services do not constitute legal advice, and no attorney-client relationship is formed through the use of the Platform.
Users requiring legal opinions, patent prosecution, or litigation support should engage qualified legal counsel in the appropriate jurisdiction.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Zebra BioSolutions, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Platform.
In no event shall the total aggregate liability of Zebra BioSolutions exceed the amounts paid by you to Zebra BioSolutions during the twelve (12) months immediately preceding the event giving rise to the claim.
The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Indemnification
You agree to indemnify, defend, and hold harmless Zebra BioSolutions and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
Either party may terminate the service relationship in accordance with the applicable subscription agreement. Zebra BioSolutions reserves the right to suspend or terminate access to the Platform immediately and without notice if a user violates these Terms or engages in conduct that may harm Zebra BioSolutions, its users, or third parties.
Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property, limitation of liability, indemnification, and dispute resolution.
13. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator’s decision shall be final and binding.
14. Modifications to Terms
Zebra BioSolutions reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform, email notification, or posting on the website with an updated effective date. Your continued use of the Platform after the effective date of any modifications constitutes acceptance of the revised Terms.
